About Fusewise & legal due diligence

What is AI legal due diligence (LDD)? +

Legal due diligence is the review of a target company's contracts and documents to understand its legal position and risks before a deal: the groundwork behind sound M&A decisions. AI legal due diligence (LDD) brings that work consistent depth and speed across thousands of documents and multiple jurisdictions. Fusewise is an AI-native take on it: dedicated legal agents assess each document and flag anything uncertain for a person to review, with every finding traceable to its source.

What is Fusewise? +

Fusewise is a Swiss, AI-native legal due diligence (LDD) engine for M&A deal teams. It reviews multi-jurisdictional virtual data rooms and produces a red-flag LDD report: purpose-built for due diligence, native to local law, and defensible by design.

What is a red-flag LDD report? +

It's the deliverable every Fusewise review produces: a structured, traceable view of the legal risks that matter to the deal (the obligations, liabilities and red flags that can affect price, terms or whether a deal proceeds), organised by area, jurisdiction and deal impact, with a prioritized list of follow-up questions for the other side. Each finding links back to its source document and paragraph.

Is Fusewise a chatbot? +

No. You set up a deal, Fusewise reviews the data room, and it produces a red-flag LDD report. Open points surface as prioritized Q&As, grouped by legal workstream, that you can put to the buy- or sell-side, and their answers can feed a re-run that updates the report. The workflow is structured around the report, not a back-and-forth chat.

How it works

How does Fusewise work? +

In four steps. (1) You share the deal details and the documents you have; Fusewise gathers publicly available information to round out the picture. (2) Fusewise builds the information request list and flags what's missing; you review and approve the scope. (3) Dedicated legal agents review every document with the depth of an M&A lawyer, each finding traceable to its source. (4) You get a red-flag LDD report with risks ranked by deal impact and a prioritized list of questions for the other side.

What do I need to provide? +

The deal details (a short questionnaire) and the documents you have. Fusewise builds the information request list, gathers publicly available information to round out the picture, and flags what's still missing for you to approve before the review runs.

How long does a review take? +

It depends on the size and complexity of the data room; we're happy to discuss approximate timing with you in a demo.

Can Fusewise replace our lawyers? +

No. Due diligence is judgement work. Fusewise takes the repetitive review off the table and surfaces what matters, so lawyers and investors spend their time on the decisions that move the deal.

Accuracy & reliability

How do you handle accuracy? +

Fusewise is hallucination-resistant by design. A multi-agent debate cross-checks each finding, low-confidence items are flagged for human review, and one-click traceability lets you verify every finding against its source.

Can we verify what the AI found? +

Yes. Every finding links to its source paragraph in one click, and the underlying M&A logic is expert-authored, so findings can be verified.

What happens when the AI isn't sure? +

Where a finding doesn't meet the confidence threshold, Fusewise flags it for a person to review, in the report itself, not hidden away. Findings rest on expert-authored M&A logic and link to their source.

Coverage

Which jurisdictions and languages does Fusewise cover? +

Fusewise reviews multi-jurisdictional data rooms and reads documents across multiple languages, organising the room by jurisdiction. Findings are delivered in English as standard, with translation into local languages available on demand. Its legal grounding goes deep on local law, today Swiss law, with further jurisdictions added deliberately.

What document types can Fusewise review? +

Contracts and the common document types found in an M&A data room, across formats (PDF, Word, scans and more).

Security & data protection

Where is our data stored and processed? +

Your data resides in Switzerland; processing runs in the EU. nFADP & GDPR compliant. Full detail, including hosting providers, is in our Trust Center.

Do you train AI on our data? +

No. Your data is not used to train models.

Is our data safe with Fusewise? +

Your documents are yours. Your data resides in Switzerland, access is controlled, and it's never used to train AI. The full picture lives in our Trust Center: hosting, processing, encryption, access controls and certification status.

Are you certified? +

We're nFADP & GDPR compliant; ISO 27001 and SOC 2 are under independent audit (in progress, not yet achieved). Live status and certificates are posted to our Trust Center once received.

Can we get a DPA or security documentation? +

Yes, available on request through our Trust Center.

What happens to our data after the deal? Can it be deleted? +

Yes. Your documents are retained only as long as needed to deliver the engagement, and are deleted, or returned at your option, when the engagement ends or earlier on request. At the AI-model layer, Zero Data Retention means your inputs and outputs aren't retained by the model platforms. Specific retention and deletion timelines are available on request, and the full picture, including our DPA, is in our Trust Center. [DRAFT: pending Luzius]

Swiss data residency & sovereignty

Isn't "Swiss" just another European data-residency claim? +

No. Switzerland isn't in the EU and has its own data-protection regime (nFADP). Fusewise keeps your data resident in Switzerland and is built on Swiss law, distinct from EU-residency tools.

Why does Swiss data residency matter for M&A? +

Switzerland has its own data-protection regime (nFADP) and a confidentiality culture that legal, PE and banking buyers already trust. Your data resides in Switzerland; processing runs in the EU, under nFADP and GDPR.

How Fusewise compares

How is Fusewise different from general legal-AI platforms? +

General legal-AI platforms are flexible tools you configure and prompt across many legal tasks; you bring the method. Fusewise is purpose-built for one job, M&A legal due diligence, with senior M&A reasoning built in, and delivers a consistent, traceable red-flag LDD report.

Why not just use ChatGPT or Claude for due diligence? +

General assistants help with drafting and summaries, but they don't apply an M&A legal method, can't reliably trace findings to a source, and aren't built for confidential deal data. Fusewise is purpose-built for that.

How is Fusewise different from EU-sovereign legal AI? +

EU-sovereign tools keep data in the EU and suit a quick, broad legal check. Fusewise is best when you want a defensible M&A due diligence report grounded in local-law expertise, built native to the jurisdiction's law (today, Swiss), with Swiss data residency.

Do we have to choose one or the other? +

No. Many teams use a broad assistant for everyday legal work and Fusewise for M&A due diligence specifically.

Who it's for

Who is Fusewise for? +

M&A deal teams: law firms, in-house legal, and investors (PE, VC, corporate M&A).

Is Fusewise only for law firms? +

No. Law firms use it to deliver diligence faster with analysis they can stand behind; in-house teams run structured buy- and sell-side reviews; investors reach a faster go/no-go decision.

How do investors use Fusewise? +

Investors use Fusewise to reach a faster go/no-go decision, with legal risks framed by what they mean for the deal, not just flagged. It supports both buy-side diligence and sell-side preparation.

Can Fusewise be used for sell-side as well as buy-side? +

Yes. Fusewise supports both buy-side reviews and sell-side preparation.
